Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services (collectively, the "Service") operated by Be There, LLC ("Be There," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

3. The Service

Be There helps people connect by curating small groups ("pods") for in-person experiences such as dinners and trivia nights. Matching is human-curated based on the information you provide and is not guaranteed. Specific events have their own dates, locations, and policies, which are displayed on the relevant event page.

4. Your Account & Information

You agree to provide accurate and complete information when creating an account or registering for an event, and to keep that information current. You are responsible for activity that occurs under your account. You may close your account at any time by contacting us at hello@joinbethere.com.

5. Payments, Deposits & Refunds

For matched experiences, joining a matching pool requires a refundable deposit (the "Deposit") charged to your payment method via Stripe. If you are matched into a pod, your saved payment method will be automatically charged the full event price ("Event Price") on an off-session basis. If you are not matched, your Deposit will be refunded. If an event is cancelled by Be There, charges associated with that event will be refunded.

By providing payment information, you authorize Be There and its payment processor (Stripe) to charge your payment method for the Deposit and, where applicable, the Event Price. We do not store your full card number; payment details are handled by Stripe under their terms. You are responsible for any taxes or fees imposed by your payment provider.

Refund eligibility for specific events is described on the event page. Once an event takes place, no-shows are not eligible for a refund.

6. Text Messaging (SMS) Consent

By providing a phone number and checking the SMS consent box at signup, you expressly consent to receive text messages from Be There related to the Service, including pod matches, event reminders, payment notifications, and occasional informational updates. Message frequency varies. Message and data rates may apply. Reply STOP at any time to unsubscribe from non-transactional messages, or HELP for help. Be There uses third-party messaging providers to deliver SMS, and your phone number will be shared with those providers solely for that purpose. Consent to receive SMS is not required as a condition of purchase except where the message is necessary to complete a transaction you initiated.

7. User Conduct

You agree not to:

• Harass, threaten, or harm other users at events or in any communication facilitated by the Service.
• Impersonate any person or misrepresent your identity, affiliation, or qualifications.
• Use the Service for unlawful purposes or in violation of any applicable law.
• Attempt to interfere with, probe, or disrupt the Service, its security, or its infrastructure.
• Resell, redistribute, or sublicense access to the Service.

We may remove users from events, suspend accounts, or refuse service for conduct that violates these Terms or that we determine is harmful to other users.

8. Intellectual Property

The Service, including its software, design, branding, and content created by Be There, is owned by Be There, LLC and protected by intellectual property laws. You retain ownership of the responses, profile information, and other content you submit ("User Content"), and you grant Be There a non-exclusive, worldwide, royalty-free license to use that User Content as needed to operate, improve, and provide the Service to you.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Be There does not guarantee that you will be matched, that an event will take place exactly as described, or that other attendees will behave in any particular way. To the fullest extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Be There's aggregate liability arising out of or relating to the Service or these Terms will not exceed the amount you paid to Be There in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data, even if advised of the possibility.

11. Indemnification

You agree to indemnify and hold harmless Be There, LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms or for any other lawful reason. Sections that by their nature should survive termination (including payment, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

14. Governing Law & Venue

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Mecklenburg County, North Carolina, and you consent to personal jurisdiction there.
